Terms of Service

These Terms of Service ("Terms") govern your access to and use of the 3Plexis platform (the "Service"), operated by Mados Ventures Holding Co. LLC, doing business as 3Plexis ("3Plexis," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Service Description

3Plexis provides business automation tools organized around three capabilities: Social Consistency (content creation support), Sales Readiness (governed, human-reviewed sales-brief preparation), and Response Control (governed, human-reviewed email/message processing). Outputs from the Service are prepared for your review — the Service does not autonomously send communications, publish content, or take irreversible action on your behalf without your explicit approval. Response Control's Gmail-connected functionality is not yet publicly available for customer onboarding.

2. Accounts and Customer Responsibilities

You are responsible for the accuracy of the information you provide us, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. You must have the authority to submit any business information, third-party account connections, or customer/lead data you provide to the Service.

3. Authorized Third-Party Connections

Certain features require you to connect a third-party account (for example, a Gmail account for Response Control, once publicly available). By connecting an account, you authorize 3Plexis to access it only to the extent, and only for the purposes, described in our Privacy Policy and in the specific consent screen presented by that third party at the time of connection. You may revoke this access at any time as described in our Privacy Policy.

4. Subscriptions and Payment

Our current Social Consistency offer is $299 one-time setup plus $149/month, including 2 users, delivered as a guided, software-enabled service (not a fully-managed service). Payments are processed by our third-party payment processor, Stripe; we do not store your full payment card details. Pricing for any package is as shown on our Packages page at the time of purchase and does not change without notice.

5. Cancellation and Refunds

You may cancel your subscription at any time, effective at the end of your current billing period; your service continues through the period you have already paid for. We do not provide prorated refunds for partial months. The one-time $299 setup fee is refundable only if cancellation occurs before setup/onboarding work has begun; once setup/onboarding work has begun, the setup fee becomes non-refundable.

6. Acceptable Use

You agree not to use the Service to violate any law or third party's rights, transmit unlawful, abusive, or infringing content, attempt to gain unauthorized access to the Service or other users' data, or interfere with the Service's normal operation. You are responsible for ensuring your use of the Service complies with applicable law and any policies of connected third-party platforms.

7. Third-Party Platforms

The Service may interoperate with third-party platforms (such as Google, and payment or hosting providers). We are not responsible for the availability, accuracy, or practices of those third-party platforms, which are governed by their own terms and policies.

8. AI-Generated Content and No Guaranteed Results

Some Service outputs (draft content, sales-readiness briefs, message summaries and draft replies) are generated with the assistance of automated and AI-based processing and are provided as a starting point for your own review and judgment; they may contain inaccuracies or require editing. You are solely responsible for reviewing, editing, approving, and taking any action based on Service outputs before they are used, sent, published, or relied upon. 3Plexis does not guarantee any specific marketing, sales, or business result from using the Service.

9. Human Review Responsibility

Features involving customer- or business-facing communication, content publication, or business decisions are designed to require your explicit human review and approval before any such action is taken. Relying on Service outputs without your own review is done at your own risk.

10. Availability and Service Changes

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features of the Service at any time, including during active development of the platform.

11. Intellectual Property

3Plexis and its licensors retain all rights, title, and interest in the Service itself, including its software, design, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your own business purposes during your subscription term.

12. Your Content and Data

You retain ownership of the business information, customer/lead data, and content you submit to or generate through the Service ("Your Content"). You grant us a limited license to use Your Content solely as necessary to provide the Service to you. Our handling of personal information, including any Google user data, is further described in our Privacy Policy.

13. Confidentiality and Security

Each party agrees to use reasonable care to protect the other's non-public business information shared in connection with the Service, and to use it only as necessary to perform under these Terms. We maintain reasonable administrative and technical safeguards intended to protect Service data, including routine internal backups, though no system can be guaranteed fully secure.

14. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms, or as needed to protect the security or integrity of the Service. You may cancel your subscription at any time as described in Section 5.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE NOT PERMITTED BY LAW.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3PLEXIS AND ITS OWNERS, OFFICERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE.

17. Indemnification

You agree to indemnify and hold 3Plexis harmless from any claims, damages, or expenses arising from your use of the Service in violation of these Terms or applicable law, or from content or data you submit to the Service.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Dallas County, Texas.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above. Continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms.
